MEMBERSHIP AGREEMENT

1. Parties :

2. Topic :

The purpose of this membership agreement is to determine the terms and conditions of use that will bind the parties to the agreement .

By participating in the Agreement, the member benefits from the services offered on the  www.flo.co.ma e-commerce site and the advantages and rights of the site members. However, the member must fulfill the terms and obligations set forth in this contract at the time of membership and throughout the period of use of the site as a member.

Unless explicitly stated otherwise by the Company, the provisions of this Agreement, except for those carried out in the Flour Store, the company's e-commerce site members  www.flo .co. on   u apply to actions in Zeri .

Rights and Obligations of the Parties

The parties, www.flo. NS. They undertake to comply with the legal provisions in force throughout the use of the ma e-commerce site and not to violate them. Otherwise, the parties will assume the legal and penal responsibilities arising from their legal relations .

The Member declares and undertakes that the information he/she provides while becoming a member of the e-commerce Site is in compliance with the law. Likewise, the Member undertakes to indemnify FLO Maroc if the Company suffers any loss due to the inaccuracy of the above-mentioned information .

The member undertakes to use his account for his own private use, not to share the use or password with anyone other than himself, and to pay compensation to Flo company in case of direct or indirect damage due to non-compliance with the above-mentioned rule .

In order to place an order on the Site, the Member must have legal capacity in accordance with the legislation in force in Morocco that sets the age of consent as 18 .

Flo reserves the right to change the content of the Site at any time, to change or terminate any service provided to users, or to store and delete user information on the e-commerce site in accordance with the relevant legislation on the protection of personal data .

Flo may change, update or cancel the provisions or articles of the Membership Agreement at any time without the need for any notice and/or notification. Any provisions that are changed, updated or repealed are announced to all members by being published on the site .

FLO may modify the application of this Agreement to meet future technical requirements and regulatory compliance. The Company may, over time, turn non-membership services into a membership-required one, open additional services, change some or all of its services, or convert it for a fee .

The Member's use of the Site in an unethical or unlawful manner, violates public order, violates intellectual rights or copyrights, may prevent or limit the use of the site by others, or harm the Company in any way, directly or indirectly. any activity is prohibited .

The member undertakes not to access or use other Internet users' software and data without authorization. Otherwise, it is subject to legal/criminal liability commitment .

The Member undertakes not to copy, reproduce or market any information, documents, software, designs, graphics, texts, images and any content on the Website, all rights of which belong to FLO. These cannot be used, acquired or changed by the member without permission .

The Member declares and accepts and authorizes the collection, processing, use and archiving of personal data by Flo and sharing them with Flo's affiliated companies and subcontractors, if any, in Morocco or outside the country. Likewise, collecting personal information about purchasing practices and consumer behavior is also included .

Flo is authorized by the member who expressly accepts that the Company uses the personal information of its members to better serve its users, to improve its products and services, to facilitate the use of the site, to meet the special preferences and interests of its members. The Member authorizes and agrees to keep a record of the member's actions on Flo's www.flo.co.ma e-commerce site.

Likewise, the member declares and accepts that Flo, its representative, affiliates and subcontractors may contact him for product and service promotions, advertisements, campaigns, advantages, surveys and other customer satisfaction practices. Thus, in accordance with this Agreement, it is possible to receive informative or commercial e-mails and informative SMS to the registered e-mail addresses and phone numbers of the members, but the member can only approve this Agreement and send informational e-mails to his mobile phone. will be deemed to have accepted the use of e-mail address and phone number .

If the Member wishes to refuse to receive the above-mentioned e-mails and/or SMSs, he/she can always choose to cancel the e-mail and/or SMS reception .

The Member reserves the right to access or not access Flo during the period of using the Account, regarding the processing or personal data, the conclusion of the transaction, their categories and the processed information. Likewise, the member can always request from Flo to update, correct, delete or block his personal data whose processing is not in accordance with the legal provisions .

In accordance with applicable legal provisions, appropriate technical and organizational measures have been put in place by Flo to protect user data. However, Flo cannot be held responsible for unauthorized access and damage to members' software and data. In order to ensure ultimate security, the user must provide his own virus protection system and provide the necessary protection. In this context, the member undertakes in advance that he is responsible for all errors that may occur in his own software and operating systems during access to the Web Site, as well as their direct or indirect consequences, and that he will not demand compensation from FLO for any damage he may suffer as a result of using the e-commerce Site .

Flo may temporarily suspend or completely shut down the operation of the system at any time, and shall have no liability to Members or third parties for temporary or complete suspension of the system .

Flo always has the right to unilaterally cancel a member's membership and delete files, documents and customer information when necessary. The Member accepts this provision in advance and declares that Flo will not be liable for any liability .

Flo is solely authorized to change the information about the prices and features of the products offered for sale on the www.flo .co.ma website. If there is an error in the pricing and functionality information of the product, FLO informs the users by posting the corrected information on the w w w.flo .co.ma website, can correct the error and notify the customer who has placed the order about it before delivery, or cancel the order and return the order amount to the customer's bank account. can .

The Member who violates one or more of the articles in this Agreement will be personally and legally responsible for this violation and will keep FLO free from the legal and penal consequences of such violations. In addition, FLO reserves the right to seek compensation from the Member (perpetrator of the violation) for non-compliance with the Agreement, should the issue result in legal action .

The terms of this contract, use, processing, configuration, sales etc. on the www.flo.co.ma e-commerce site. The terms and conditions are complementary and all form a single text and bind the parties .

3. Rights Granted to the Member

From time to time, Flo may provide exclusive advantages to its members, only e-commerce site members or generally to all customers .

Benefits may consist of special discounts, coupon codes, points, coupons, gifts or other benefits .

The conditions for the distribution of promotional benefits are determined in the same way as when information about them is published .

4. Membership Period

The membership to the e-commerce site, which is realized with the creation of the account and the acceptance of the Agreement, indicates the start of the membership period for these two transactions. The membership period continues to run for an indefinite period, unless one of the Contracting Parties decides to close the account or the E-commerce Site is closed temporarily or permanently .

6. Account Security

The member must enter login information to access his account with his registered data on the e-commerce site. It is the member's responsibility to maintain the confidentiality of his/her account login information and other transactions under the sanction of losing the right to use and closing the account, with Flo's initiative and without prior notice by Flo .

7. Privacy :

Flo acts in accordance with the law to take appropriate technical and organizational measures to protect members/customers' personal data against accidental or unlawful destruction, accidental loss, tampering, dissemination or unauthorized access .

When the processing is performed on its behalf, Flo provides the relevant elements to a subcontractor who provides the same technical and organizational security guarantees for the processing to be performed .

The information collected on Flo's servers is only used within the scope of customer "classification" studies in order to organize periodic campaigns within Flo, to organize special promotional activities for customer profiles, and to avoid sending unsolicited e-mails.

Flo analyzes and interprets the movements and preferences of visitors while using the site, except for e-mail addresses and personal information requested in membership forms .

These statistical data, which do not contain personal information, may be shared with Flo's business partners in order to provide Flo customers with a more privileged and efficient shopping experience .

8. Commercial Messages

The Member consents to all commercial electronic messages sent to him by the Company .

In this context, the Member can use the Company's automatic search systems such as fax, e-mail, short message, which operate without any personal intervention or any other means of communication, via electronic message/SMS/ fax etc. It accepts and declares that he is authorized to send .

Within the framework of these terms of use, the member has the right to stop receiving electronic messages at any time and without giving any reason. The member should forward his request on this matter to FLO by calling/message/e-mail or using the contact information provided on the e-commerce Site. FLO will ensure that a request for revocation is easily and free of charge, and the Company must respond to this request in accordance with the relevant rules .

9. Intellectual Property

The intellectual property rights of all software and content provided on the  www.flo.co.ma e-commerce site are the property of Flo and are protected by worldwide copyright laws and treaties. Flo reserves all these rights. Members may store, print and view the content provided for personal use only .

The Member may not publish, process, distribute or otherwise reproduce or use any content related to a company or commercial organization transmitted to him or on the e-commerce site .

10. Termination of Membership Agreement:

Membership may be canceled at the request of the user to deactivate his account or at the initiative of the Company when the site is closed, or for any other reason .

Likewise , the member abuses FLO's campaigns, sales system or website by taking advantage of the gaps (technical, etc.) available in FLO campaigns, sales system or FLO's www.flo.co.ma website , thereby harming FLO. The Company may exercise its right to terminate the membership without prior notice. In the same way, it also includes the cases of repeating practices, committing faulty actions, benefiting from the campaign or sales conditions even though they do not meet the conditions .

Registration of the Member means that the Member has read all the articles of the Agreement and accepted all the articles in the Agreement. This Agreement is signed immediately and mutually enters into force for the Member to become a Member. This Agreement will remain in effect until the Member cancels his/her membership or Flo cancels his/her membership .

The Member agrees that the Agreement may be terminated unilaterally by Flo without any notice or warning, in case of providing false information .

11. Dispute Resolution:

The provisions of the Moroccan legislation will be applied in disputes arising in relation to this contract .

In case the member is a professional, not a consumer, the courts of the defendant will be authorized to resolve any dispute arising from the implementation of this Agreement .

In the opposite case, if the member is a consumer in accordance with the provisions of the Law on the Protection of the Consumer , the competent jurisdiction is the court of the official address or place of residence of the consumer, or the court of the place where the damaging act occurred, according to the consumer's preference .
